What is a Tenancy Agreement?

A Tenancy Agreement in Malaysia is a legally binding contract between a landlord (or lessor) and a tenant (or lessee) under which the landlord grants the tenant the right to exclusive use and occupation of a property for a specified period in exchange for rent, subject to the terms and conditions agreed. Even though in Malaysia verbal agreements are technically possible, reliance on only a verbal agreement is risky – a properly drafted written and stamped tenancy/lease agreement provides clarity and legal protection in case of disputes.

In the industrial/commercial context, such agreements are often referred to as lease agreements (especially when the term is longer or the property is large scale), but for simplicity this article will use “tenancy agreement” to cover both standard rental and longer-term leases of business premises.

Why the Written Agreement Matters

There are several reasons why a written tenancy agreement (rather than an informal arrangement) is strongly recommended:

1. Clarity of rights and obligations – Having in writing which party is responsible for what (maintenance, insurance, utilities, permitted use, termination) reduces ambiguity and helps enforce obligations.
2. Evidence in court – A stamped tenancy agreement is admissible in Malaysian courts; an unstamped agreement may be inadmissible or may reduce your ability to enforce rights.
3. Protection for both landlord and tenant – The tenant wants to secure their occupation and ensure no arbitrary eviction; the landlord wants to secure rent and avoid misuse of property. Given rising rental disputes (especially in the business and industrial sector), this becomes ever more important.
4. Tax/compliance implications – As we’ll see, new developments in 2025 (such as expanded service tax (SST) on commercial rentals and higher stamp duty) mean that both parties must be aware of their obligations, and a written agreement helps demonstrate the arrangements.
